2. Services Provided
We provide strategic and operational support for Amazon sellers, including but not limited to: Amazon account management, PPC advertising management, Listing optimization
Brand strategy and growth consulting, CMO-level advisory and execution
We do not guarantee specific results such as sales increases, rankings, or revenue outcomes.
3. Client Responsibilities
You agree to:
Provide accurate and complete information Maintain compliance with Amazon’s policies and terms Grant necessary access to your Amazon Seller/Vendor accounts Respond in a timely manner to requests You are solely responsible for your Amazon account and business decisions.
4. Fees and Payment
a. Fees - Fees are outlined in your agreement, proposal, or invoice.
b. Payment Terms -Payments are due [e.g., upfront/monthly/net 7]
Late payments may result in suspension of services All fees are non-refundable unless otherwise stated
c. Ad Spend - You are responsible for all Amazon advertising spend directly.
5. Term and Termination
a. Term - Services continue on a [monthly/contract] basis unless otherwise agreed.
b. Termination - Either party may terminate: With [e.g., 14 or 30 days] written notice
Immediately for breach of these Terms
Upon termination: All outstanding payments become due Access to services will be revoked
6. Intellectual Property

b. Agency Materials We retain ownership of proprietary tools, frameworks, and processes.
c. Usage Rights We may use anonymized data and non-confidential results for case studies and marketing unless otherwise agreed.
7. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties without consent.
8. No Guarantees
We do not guarantee: Sales performance Advertising ROI
Ranking positions on Amazon Results depend on multiple factors outside our control, including market conditions and Amazon algorithm changes.
9. Limitation of Liability
To the fullest extent permitted by law:
We are not liable for indirect, incidental, or consequential damages
Our total liability is limited to the amount paid for services in the preceding [30/60/90] days
10. Indemnification
You agree to indemnify and hold harmless [Your Agency Name] from any claims, damages, or liabilities arising from:
Your Amazon account
Your products or listings
Violations of Amazon policies
11. Third-Party Platforms
